Diversis Capital Announces Strategic Investments and Combination of Genesis, Kermit, and Meperia to Create the First End-to-End Clinical Lifecycle Management Platform

Diversis Capital, a leading lower middle-market technology investment firm with $3 billion in assets under management, today announced it has completed the acquisitions of three leading technology companies serving the hospital and ASC supply chain market:
- Genesis Automation Healthcare — the established leader in clinical traceability, inventory management, and point-of-use automation, serving premier customers including NHS Scotland and Jackson Health.
- Kermit — best-in-class, cloud-based bill-only automation, spend management, and analytics for physician preference items (PPI), serving over 25 major health systems including Inova and MedStar Health.
- Meperia — an industry-leading procurement intelligence and data-normalisation platform, with customers such as Summit Health and Universal Health Services.
The combined companies will operate under a single brand — Genesis — and a single platform model. The new organization establishes the industry’s first full-scope Clinical Lifecycle Management Platform for hospitals and ASCs, built to combat waste, financial leakage, compliance risk, and the administrative burden pulling clinicians away from patients.
Solving Healthcare’s Multibillion-Dollar Clinical Supply Crisis
“In our months of diligence, we uncovered a crisis in the industry,” said Ron Nayot, Managing Partner at Diversis Capital. “Behind closed doors, hospital executives say their fragmented technology is failing them catastrophically — leading to massive waste, compliance gaps, and strain on clinicians and administrators being pulled away from patients to reconcile billing and inventory.”
Clinical supply operations remain fragmented across disconnected tools. Hospitals and ASCs juggle separate systems to purchase and manage everything from commodities to high-value implants, resulting in:
- Disjointed inventory processes. Commodities need storeroom management; implants and PPIs need just-in-time OR delivery, serial/lot/expiration tracking, consignment, bill-only capture, and tight spend control.
- Lack of visibility and control. Location-level counts, chain-of-custody, recall management, and charge capture are unreliable — driving waste, leakage, and compliance risk.
- Poor data quality. Outdated, inconsistent item-master data undermines purchasing, preference cards, contract adherence, and analytics across every downstream system.
- Lack of system integration. Supply platforms don’t connect end-to-end with ERPs and EHRs, preventing a single source of truth, automation, and true contract compliance.
A New, Vendor-Neutral Platform for the Clinical Lifecycle
The combined Genesis platform unifies clinical supply workflows, enriches item-master data, and integrates seamlessly with ERPs and EHRs — enabling real-time visibility from dock to OR and measurable savings, organised across five purpose-built solutions and a shared intelligence layer:
- Genesis Data — connect and enrich what you know. Item-master cleansing, UDI compliance, EDI connectivity, automated PO and invoice exchange.
- Genesis Sourcing — control what you buy. Strategic sourcing, contract management, contract compliance enforcement, rebate management.
- Genesis Inventory — know what you have, wherever it is. Real-time visibility, automated replenishment, recall traceability, tissue, implant, and asset tracking.
- Genesis Clinical — capture what you use. Bill-only automation, preference card management, point-of-care documentation, case-level costing.
- Genesis Savings — protect what you spend. Contract-to-consumption matching, invoice validation, price variance detection, PPI spend protection.
- Genesis Intelligence — the AI-powered analytics layer embedded across all five solutions, surfacing savings opportunities, forecasting demand, and turning activity into action.
With one shared, real-time operating picture, Genesis delivers contract-first visibility and control across commodities and PPIs. Clinicians provide real-time demand signals so the right product reaches the point of care. Finance sets the guardrails so every dollar is on contract and tied to outcomes. Together, the platform lowers cost and raises quality for patients.
Customers Across the Combined Companies Agree
Simon Walsh, Chief Procurement Officer at Manchester University NHS Foundation Trust, highlighted Genesis’s impact: “Our partnership with Genesis not only gives us all the benefits in terms of product tracking and traceability but also enabled us to generate £1.9 million of savings and added value. Savings that can be redirected towards the services we provide. In the end, it’s all about patients, and it’s all about patient care.”
Mike Ewing, Director of Supply Chain at Frederick Health, on Kermit: “I have partnered with the Kermit team for the past nine years. Over that time, we have worked together to achieve over $10M in value in the Total Joint, Trauma, Spine, Sports Medicine, and Cardiac Rhythm Management categories. Kermit provides a ‘one-two punch’ — helping us achieve desired contract pricing and then maintaining those gains throughout day-to-day cases.”
Carl Waller, Vice President of Supply Chain Management at Northside Hospital, on Meperia: “Meperia provides a roadmap to better data, greater standardization, and more unified purchasing across our acute and non-acute facilities.”
“The hospital inventory management and supply chain market has been in need of institutional-scale transformation,” added Nayot. “With this combination, we’re establishing the clear market leader with the scale, technology, and expertise to drive meaningful change across the industry.”
